1. Grant of Rights

Brian Mullin / Pause Studios ("Photographer") grants the Client a non-exclusive, worldwide license to use the specified images for commercial purposes as described in this addendum and confirmed in the scope summary below. This license is in addition to any rights granted in the primary Photography Agreement.

2. Permitted Commercial Uses

Permitted uses include: print advertising (billboards, publications, direct mail), digital advertising (paid social, display, programmatic), broadcast and video production, website and landing page use, brand campaigns, product packaging, and any other commercial application specified in the scope summary. Uses not listed in the scope summary require written approval from the Photographer.

3. Copyright & Ownership

Brian Mullin / Pause Studios retains full copyright of all images. This license grants usage rights only — it does not transfer ownership or copyright to the Client. The Client may not claim authorship or ownership of the images, modify them in ways that misrepresent the Photographer's work, or use them in contexts that disparage either party.

4. Sublicensing & Transfer

The Client may not sublicense, resell, transfer, or assign this license to any third party without prior written consent from the Photographer. Use by the Client's contracted agency partners for production purposes on behalf of the Client is permitted.

5. Territory & Duration

Unless otherwise specified in the scope summary, this license is worldwide in territory and perpetual in duration for the uses described. Territory or time restrictions, if applicable, are noted in the scope summary provided during negotiation.

6. Attribution

Where attribution is practical — editorial, publication, digital media — the Photographer is credited as "Photography: Brian Mullin / Pause Studios." Attribution requirements for advertising and campaign contexts will be determined during scope discussion.

7. Portfolio Use

Photographer retains the right to display images from the engagement in portfolio, website, social media, and editorial materials, unless the engagement is covered by a separate confidentiality agreement restricting such use.

8. License Fee

The commercial license fee is as agreed and confirmed in writing prior to signing this addendum. The fee is in addition to any shoot fees covered by the primary Photography Agreement. Payment terms follow those in the primary agreement.

9. Governing Law

This addendum is governed by the laws of Ontario, Canada, and forms part of the primary Photography Agreement between the parties. Any disputes will be resolved in the jurisdiction of Windsor, Ontario, unless otherwise mutually agreed in writing.
