Pause Studios — Mutual Non-Disclosure Agreement

1. Parties

This Mutual Non-Disclosure Agreement ("Agreement") is entered into between Brian Mullin / Pause Studios ("Photographer") and the Client identified in the signature block below. Both parties may share confidential information in connection with a photography engagement and agree to protect it as described herein.

2. Confidential Information

"Confidential Information" means any information disclosed by one party to the other in connection with the engagement, including but not limited to: event details, venue, schedule, attendees, talent identities, unreleased content, business strategy, pricing, client identity, and all photographs created during the engagement. Information is confidential regardless of whether it is marked as such at the time of disclosure.

3. Obligations

Each party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the other party's prior written consent; (c) use Confidential Information solely for the purposes of the engagement; and (d) protect the other party's Confidential Information with at least the same degree of care used to protect their own confidential information.

4. Portfolio & Promotional Use

When this Agreement is in effect, Photographer will not display photographs from the engagement publicly (website, social media, print, editorial) or reference the Client by name in any promotional context without explicit written consent from the Client. Photographer retains the right to retain the images privately in archival storage.

5. Exceptions

The obligations in this Agreement do not apply to information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no breach by the receiving party; (c) was independently developed by the receiving party without use of the Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given reasonable notice and opportunity to seek a protective order.

6. Duration

This Agreement is effective from the date of signing and remains in force for three (3) years from that date, unless the parties agree in writing to a different term. Obligations relating to photographs and creative materials survive termination of this Agreement.

7. Governing Law

This Agreement is governed by the laws of Ontario, Canada. Any disputes will be resolved in the jurisdiction of Windsor, Ontario, unless the parties mutually agree otherwise in writing.
